Compliance Basic Policy and Code of Conduct
Basic Policy
The TOA Electric Industrial Group (TOA Electric Industrial Co., Ltd. [artron group] and its affiliated companies; collectively, “we,” “us,” or “our”) contributes to the realization of a sustainable society through fair and ethical business activities.
In order to realize our corporate philosophy and to respond to the trust placed in us by society, we regard compliance as a fundamental principle, requiring all executives and employees to comply with domestic and international laws and regulations, social norms, and corporate ethics, and to act at all times with integrity and a high standard of ethical awareness.
Code of Conduct
All executives and employees shall comply with and put into practice the following Code of Conduct in accordance with this Basic Policy.
1. Fair Transactions and Competition
Compliance with the Antimonopoly Act
We respect fair and free competition and will not engage in conduct that violates the Antimonopoly Act, including cartels, bid rigging, or unreasonable restraints of trade.
Prohibition of Bribery and Improper Benefits
We will neither provide nor accept any improper benefits or favors to or from suppliers or any other stakeholders.
Appropriate Import and Export Controls
In accordance with applicable laws and regulations, we rigorously manage the import and export of products and technologies, thereby contributing to the maintenance of international peace and security.
Severing Ties with Antisocial Forces
We will have no relationship whatsoever with antisocial forces or organizations that threaten the order and safety of civil society.
2. Thorough Information Management and Security
Protection of Confidential and Personal Information
We strictly manage confidential and personal information relating to customers, suppliers, and ourselves in accordance with applicable laws and internal regulations, thereby preventing unauthorized access, leakage, or loss.
Respect for Intellectual Property
We respect our own and others’ intellectual property rights, including patents, trademarks, and copyrights, and we will not engage in unauthorized use or infringement.
Ensuring IT Security
We rigorously implement security measures for our information systems and networks and strengthen our preparedness against cyberattacks and system failures.
3. Respect for Human Rights and the Working Environment
Respect for Human Rights and Prohibition of Discrimination (Compliance with the separate “Human Rights Policy”)
We prohibit discrimination or harassment based on race, gender, nationality, religion, disability, or any other similar grounds, and we respect individual diversity.
Ensuring Occupational Safety and Health
We comply with occupational safety and health laws and regulations and strive to create a workplace environment in which employees can work safely, comfortably, and in good physical and mental health.
Fair Treatment and Human Resource Development
We ensure fair evaluations and treatment, and we support human resource development and self-improvement so that all employees can fully realize their abilities and vitality.
4. Consideration for the Global Environment
Compliance with Environmental Laws and Pursuit of Reduced Environmental Impact
We comply with environmental laws, regulations, and customer environmental requirements. As an electronics trading company, we handle products that contribute to reducing environmental impact and promote resource conservation and energy saving in our business activities.
5. Ensuring Transparency and Communication
Timely and Appropriate Information Disclosure
We disclose accurate and timely information regarding management, financial conditions, and corporate activities to investors and society at large.
Transparent Organizational Management
We clearly distinguish between public and private matters, strictly prohibit conflicts of interest, and conduct our business operations with a high degree of transparency.
Promotion of Communication
We strive to engage in constructive dialogues with customers, suppliers, shareholders, local communities, and employees in order to build cooperative relationships with society.
6. Establishment of Crisis and Risk Management Systems
Early Detection and Correction of Issues
To prepare for risks such as compliance violations, misconduct, disasters, and quality issues, we establish reporting channels and response procedures during peacetime to ensure swift and appropriate action. We also promote the use of our internal whistleblowing system and strive for the early detection and correction of problems.
7. Contribution to Local Communities
Active Participation in Social Contribution Activities
Respecting the cultures and customs of local communities, we actively participate in social contribution activities and community engagement as good corporate citizens.
Scope of Application
Our policy applies to all executives and employees. We also expect our suppliers and business partners to understand and uphold the principles of this policy, and we will work in collaboration with them to ensure thorough compliance.
